These Terms of Service ("Terms") govern your access to and use of AuthAction's authentication-as-a-service platform and related services. Please read these Terms carefully before using our services.
1. Acceptance of Terms
By accessing or using AuthAction services, including our website at authaction.com, APIs, dashboards, and any associated software or documentation ("Services"), you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use our Services.
2. Description of Service
AuthAction provides authentication-as-a-service ("AaaS") solutions for modern applications. Our platform includes, but is not limited to:
- User management and identity verification
- Single Sign-On (SSO) and federated authentication
- Multi-Factor Authentication (MFA) and passkey support
- Feature flags and plan management
- API-based authentication and authorization
- Machine-to-machine authentication
- Related tools, SDKs, and developer resources
We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice.
3. Account Registration
To use certain features of our Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your login credentials secure and confidential
- Notify us immediately of any unauthorized access to your account
- Be responsible for all activities that occur under your account
You must be at least 18 years old and have the legal capacity to enter into binding contracts to register for an account.
4. Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You may not:
- Use the Services in any way that violates applicable laws or regulations
- Infringe upon or violate the intellectual property rights of others
- Transmit malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems, other accounts, or third-party services

- Interfere with or disrupt the integrity or performance of our Services
- Use the Services for any illegal, harmful, or abusive purpose
- Resell or sublicense the Services without our prior written consent
We reserve the right to suspend or terminate your access to the Services if we determine, in our sole discretion, that you have violated these acceptable use provisions.
5. Intellectual Property
AuthAction and its licensors own all right, title, and interest in and to the Services, including all intellectual property rights. This includes our platform, software, APIs, documentation, trademarks, logos, and proprietary technology. No licenses or rights are granted to you except as expressly stated in these Terms.
You retain all rights to the data, content, and applications you create, upload, or process through our Services ("Your Data"). By using our Services, you grant AuthAction a limited license to use, process, and store Your Data solely as necessary to provide and improve our Services.
6. Data and Privacy
Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using our Services, you consent to our collection and use of data as described in the Privacy Policy.
AuthAction processes Your Data in accordance with applicable data protection laws. We act as a data processor with respect to end-user data that you process through our platform. You are responsible for ensuring that your use of our Services complies with applicable privacy laws and that you have appropriate consent or legal basis for processing end-user data.
7. Service Availability
We strive to provide reliable and available Services, but we do not guarantee uninterrupted or error-free access. Our Services are provided on a best-effort basis. We may perform planned maintenance, which we will endeavor to announce in advance when reasonably possible.
We are not liable for any downtime, data loss, or interruptions caused by factors outside our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, internet or telecommunications failures, or government actions.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUTHACTION AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO AUTHACTION FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
9. Termination
Either party may terminate these Terms and your access to the Services at any time, for any reason, with or without cause. You may terminate your account at any time through your account settings or by contacting us.
Upon termination, your right to use the Services will cease immediately. We will provide a reasonable period (typically 30 days) for you to export Your Data before it is permanently deleted. After the export period, we may delete all of Your Data from our systems.
Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Intellectual Property, Limitation of Liability, and Governing Law.
10. Changes to Terms
AuthAction may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. For significant changes, we may also provide notice by email or through our dashboard.
Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our Services and may terminate your account.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
